The following terms and conditions apply to all companies and or persons or other entities (“you”) that are attending any Training (“Training” or “Course”) organized by Herman Global Ventures (“we” or “us”). Please ensure you have read and understood the following:
Acceptance of terms and conditions
By completing the registration form for a particular training, you are agreeing to the terms and conditions set out below (“Terms”) and they will be incorporated into the contract between us (“Contract”). You will ensure that your employees, partners, agents, contractors, subcontractors and any other person attending the Training on your behalf shall comply with these Terms. The Contract is formed when we send you a booking confirmation.
Registration and Payment
The fee for attending the Training (“Course Fee”) must be paid in full at the time of booking your training. In some cases, registration via a deposit may be accepted with the remainder of the Course Fee to be paid-in-full by a specified date. Deposits are non-refundable. An order confirmation will be automatically sent out which will confirm your booking.
Payment will be made via our merchant account provider (and you consent to us passing your necessary details to the merchant account provider and to the processing of necessary information about you) or directly to our bank account, as notified to you. We reserve the right to run price promotions as we deem appropriate.
Cancellation and Refund Policy
There may be circumstances in which we need to cancel or re-schedule the Training and you are unable to attend the new date. In such circumstances, we will provide you with a full refund of the amount of the course fee that you have paid to us and we will make every effort to provide you with such refund within 30 days of the date of cancellation.
Cancellation by participants must be made in writing. Cancellation up to 60 days before start 25% of the full course fee. Cancellation until three weeks before start: 50% of the course fee. Cancellation less than two weeks before start and no-shows: 100% of the course fee. In some cases, instead of cancellation, you might also have an opportunity to transfer the funds to a future training with same or different Instructor. We are not responsible for any other costs which training participants may have incurred including but not limited to travel, hotel, car rental, insurance, other misc. purchases and/or rentals.
Postponement or Change to Venue
There may be circumstances in which we need to postpone the Training or change the venue at which the Training is to be held and if we do, we shall advise you of this as soon as we possibly can. If you are unable to attend on the new training date and/or location, you can choose to transfer your booking to the next training or request a refund.
At any time, your training may be moved into a virtual classroom. An email will be sent out explaining the process and requirements. The virtual classroom training will have the same curriculum and will be run around the same date as the originally scheduled training. You will also have the chance to schedule some one on one time with a 90 Day Year Coach for an additional fee, to go through Herman Global Ventures and ask any questions you might have.
If you have booked and paid for a training and are unable to attend on the training date, and if another similar training is offered, you can choose to transfer your booking to the next training. An administration fee of $25 per booking will be incurred, payable at time of your request to transfer your booking. If the subsequent training is cancelled by us, you will receive a full refund.
Please note that bookings cannot be transferred within two weeks of the training date.
Training Schedule and Agenda
All training schedules and plans are subject to change at our discretion depending upon weather, health and safety considerations, or any other factor related or unrelated to photographic opportunities as we deem appropriate.
Limitations of Liability
While every reasonable precaution is taken by us to ensure security and safety at the training, we shall not in any way be liable for any loss or damage suffered by you or your personal belongings whatsoever in relation to the Training, save that nothing in these Terms shall be deemed to limit the liability of any person for death or personal injury caused by negligence.
We can accept no responsibility for losses or additional expenses due to delay or changes in the services to be provided. We reserve the right to change our arrangements should conditions necessitate, or cancel any aspect of the training due to exceptional circumstances. In the event that we deem it necessary to cancel the training, we will provide a full refund, which the participants acknowledge as the full and final settlement. In the event of a training cancellation by us, our total liability for any matter arising out of the Contract shall in all circumstances be limited to the price paid by you for the Training and we shall not in any circumstances be liable to you for any consequential loss whatsoever.
Your obligation
If you act in any way which in our opinion is likely to cause any harm or nuisance to any person at the Training, you will be required to leave the Training and we shall not be liable to refund your Course Fee or any other payment.
You must comply at all times with the health and safety policy of the venue. You must comply with all requests from us or the venue with regard to health and safety and failure to do so will result in you being asked to leave the training (in which case no refund will be provided). You may not bring any equipment or items of a hazardous or dangerous nature to the Training.
You shall not cause any damage to any part of the venue (including outside areas, and all inside walls, flooring, fixtures and fittings). You are solely liable for any damage caused by you, your employees, contractors, sub-contractors and agents to any such area of the venue and shall fully reimburse us in relation to any damage so caused.
You must keep your personal belongings with you at all times and we accept no liability for any damage to, loss of or theft of any of your belongings or other items brought to the Training by you.
Promotional materials and materials at the Training
You agree that we may include your details or pictures in any promotional materials relating to the Training and/or any materials used at the Training. We are not liable for errors or omissions contained in such information.
Unless otherwise stated, the copyright for any such promotional materials and any materials used at the Training (including course notes, slides, brochures, articles and case studies) belongs to us and may not be reproduced in any medium without our prior written consent.
You may use such materials for your own business purposes only and may not reproduce, publish or deal with such materials in any way for any commercial use. We reserve the right to change the published program (including the publicized speakers) or materials as we deem appropriate.
Photography and filming
You may not photograph or video the Training without our prior consent. Any approved filming or photography is the property of Herman Global Ventures.
Audio/Video Release
By participating in any of Herman Global Ventures events, workshops, support sessions, or webinars, you understand that these events may be recorded. You agree that Herman Global Ventures has the right and permission to use such recordings should they include your name, likeness, voice, biographical details, testimonial, or photograph for marketing, advertising, training, or any other purpose in any media or format, online and/or offline, now or hereafter without any further compensation, permission, or notification. You understand and agree that all recordings are the exclusive rights or Herman Global Ventures and you will not ask for or expect compensation for the use of recordings or photographs in which you appear or speak. Herman Global Ventures owns all rights of any audio, video, and/or photograph captured during any of our events.
Data protection
We will communicate with you using the contact details provided on the Registration Form for the purposes of the Training. We shall be entitled to pass on all of your contact details to the training instructors.
Travel, accommodation and refreshments
You shall be responsible for making and paying for your own travel, accommodation and refreshment arrangements. If you are late at the training or prevented from attending the Training due to travel delays or any other circumstances, we shall not be obliged to provide you with a refund or to wait to start the Training until you arrive.
Disability, medical conditions and dietary requirements
If you have any disability or medical condition that requires us to make special arrangements for you or any special dietary requirements, please email us at care@toddherman.me as soon as possible and in any training at least 2 weeks prior to the date of the Training.
Indemnification
Client shall defend, indemnify, and hold harmless Company, Company’s officers, employers, employees, contractors, directors, related entities, trustees, affiliates, and successors from and against any and all liabilities and expense whatsoever – including without limitation, claims, damages, judgments, awards, settlements, investigations, costs, attorneys fees, and disbursements – which any of them may incur or become obligated to pay arising out of or resulting from the offering for sale, the sale, and/or use of the product(s), excluding, however, any such expenses and liabilities which may result from a breach of this Agreement or sole negligence or willful misconduct by Company, or any of its shareholders, trustees, affiliates or successors. Client shall defend Company in any legal actions, regulatory actions, or the like arising from or related to this Agreement.
Client recognizes and agrees that all of the Company’s shareholders, trustees, affiliates and successors shall not be held personally responsible or liable for any actions or representations of the Company. In consideration of and as part of my payment for the right to participate in Herman Global Ventures Programs, the undersigned, my heirs, executors, administrators, successors and assigns do hereby release, waive, acquit, discharge, indemnify, defend, hold harmless and forever discharge Herman Global Ventures and its subsidiaries, principals, directors, employees, agents, heirs, executors, administrators, successors, and assigns and any of the training instructors, guides, staff or students taking part in the training in any way as well as the venue where the Programs are being held (if applicable) and any of its owners, executives, agents, or staff (hereinafter “Releasees”) of and from all actions, causes of action, contracts, claims, suits, costs, demands and damages of whatever nature or kind in law or in equity arising from my participation in the Programs.
Your Agreement to these Terms and Conditions
In reserving a place on the training by paying the training fee, you are agreeing to accept all the above conditions. The person who makes the booking does so on behalf of all the individuals included, and all are bound by the booking conditions.
